This Company Registration Agreement (this “Agreement”) is made and entered into as of the [Date] by and between [Company Name], a [Company Type] with its principal place of business at [Address] (the “Company”), and [Registration Agent Name], a company duly organized and existing under the laws of the State of [State] with its principal place of business at [Address] (the “Registration Agent”).
WHEREAS, the Company desires to register a new company in the State of [State] (the “New Company”); and
WHEREAS, the Registration Agent is a qualified and experienced provider of company registration services:
NOW, THEREFORE, in consideration of the mutual covenants contained herein, the parties agree as follows:
1. Services
The Registration Agent agrees to provide the following services to the Company in connection with the registration of the New Company:
- Conduct a thorough name availability search to ensure that the proposed name of the New Company is available and compliant with applicable laws.
- Prepare and file all necessary articles of incorporation, bylaws, and other required documents with the Secretary of State of the State of [State].
- Obtain an Employer Identification Number (EIN) from the Internal Revenue Service (IRS) for the New Company.
- Provide ongoing support and advice to the Company on company registration matters.
2. Fees

6. Indemnification

7. Entire Agreement
This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior or contemporaneous communications, representations, or agreements, whether oral or written.
8. Governing Law
This Agreement shall be governed by and construed in accordance with the laws of the State of [State].
9. Severability
If any provision of this Agreement is held to be invalid or unenforceable, such provision shall be struck from this Agreement and the remaining provisions shall remain in full force and effect.
