This Due Diligence Services Agreement (the “Agreement”) is entered into on [Date] (the “Effective Date”), by and between:

Collectively referred to as the “Parties.”
1. Purpose of Agreement
The Client wishes to engage the Service Provider to provide due diligence services related to [brief description of the purpose or scope of due diligence] (the “Services”), and the Service Provider agrees to perform the Services for the Client subject to the terms and conditions set forth in this Agreement.
2. Scope of Services

3. Compensation

4. Confidentiality
Both Parties agree to maintain the confidentiality of any information obtained during the course of providing or receiving the Services. For additional details, refer to the Confidentiality Agreement attached as Exhibit B.
5. Term and Termination
This Agreement shall commence on the Effective Date and continue until completion of the Services or until terminated by either Party with [specify notice period] days’ written notice to the other Party. In the event of termination, the Client shall pay any fees and expenses incurred up to the date of termination.
6. Governing Law

7. Entire Agreement
