This Accounting Outsourcing Agreement (the “Agreement”) is made and entered into between [Your Company Name], hereinafter referred to as the “Service Provider,” and [Client Name], hereinafter referred to as the “Client,” collectively referred to as the “Parties.”

5. Intellectual Property: Any intellectual property created or developed by the Service Provider in the course of providing the Services shall remain the property of the Service Provider, unless otherwise agreed upon in writing by both Parties.

6. Termination: Either Party may terminate this Agreement by providing written notice to the other Party in the event of a material breach of this Agreement that remains uncured for a period of [Cure Period] days following written notice of such breach.
